Terms & Conditions

By commissioning work from Katalyst Development you agree to be bound by the terms set out on this page. Please read carefully before engaging our services. Questions may be directed to info@katalystdev.co.za.

Website Development Services


01.01Scope of Work

All website development projects are based on a mutually agreed scope of work outlined in the project proposal or quotation. Any changes, additions, or modifications requested beyond the original scope will be treated as a change request and may result in additional costs and revised timelines. Katalyst Development will notify the client before proceeding with out-of-scope work.

01.02Project Timeline

Timelines are estimates based on the agreed scope and are subject to timely feedback and content delivery from the client. Katalyst Development will not be held responsible for delays caused by late content submissions, delayed approvals, or unavailability of the client. A revised timeline will be communicated if delays occur.

01.03Client Responsibilities

The client is responsible for providing all necessary content including text, images, logos, and branding guidelines in a timely manner. Failure to provide required content may result in project delays. Katalyst Development may use placeholder content during development, which must be replaced before final delivery.

01.04Revisions

Each project includes a set number of revision rounds as specified in the project proposal. Revisions are limited to adjustments within the original scope. Structural or conceptual changes requested after design approval may incur additional charges.

Monthly Maintenance & SEO Plans


02.01Service Agreement

Monthly maintenance and SEO services are provided on a month-to-month basis unless a fixed-term contract is agreed upon in writing. Services commence upon receipt of the first payment and continue as long as the subscription remains active.

02.02Service Delivery

Katalyst Development will perform agreed monthly tasks within the specified billing cycle. Any unused service hours or tasks do not carry over to the following month. Clients will receive a monthly summary of work completed.

02.03Cancellation of Monthly Plans

Monthly plans may be cancelled by providing at least 30 days written notice before the next billing date. Cancellations made after a billing cycle has commenced will not be refunded for that cycle. Access to managed services will cease at the end of the paid period.

02.04SEO Results Disclaimer

Katalyst Development does not guarantee specific search engine rankings or traffic volumes. SEO is an ongoing process influenced by search engine algorithm changes, competition, and content quality. We apply industry best practices to improve visibility over time, but results may vary.

03

Payment Terms & Deposits


03.01Deposit Requirement

All project-based work requires a non-refundable deposit of 50% of the total quoted amount before work commences. The remaining balance is due upon project completion and before final files or access credentials are handed over to the client.

03.02Payment Methods

We accept EFT (Electronic Funds Transfer) and other payment methods as agreed upon. All payments must be made in South African Rand (ZAR) unless otherwise agreed in writing. Proof of payment must be sent to info@katalystdev.co.za upon completion of each payment.

03.03Late Payments

Invoices are due within 7 days of issue unless otherwise agreed. Late payments may result in suspension of services, delayed project delivery, or additional administrative fees. Katalyst Development reserves the right to pause ongoing work until outstanding balances are settled.

03.04Disputed Invoices

Any disputes regarding an invoice must be raised in writing within 5 business days of receipt. Undisputed amounts must still be paid on time. Katalyst Development will work in good faith to resolve billing disputes promptly.

Intellectual Property & Code Ownership


04.01Ownership Upon Full Payment

Upon receipt of full and final payment, all custom code, designs, and content created specifically for the client's project are transferred to the client. The client will own the source code and associated assets outright, with no ongoing licensing fees payable to Katalyst Development.

04.02Ownership Before Full Payment

Until full payment is received, all work product — including code, designs, and deliverables — remains the intellectual property of Katalyst Development. The client may not use, publish, or distribute any deliverables until the outstanding balance is settled in full.

04.03Third-Party Components

Some projects may incorporate open-source libraries, frameworks, or licensed third-party assets. The client takes on responsibility for compliance with the respective licences of these components. Katalyst Development will disclose any third-party components used in the project deliverables.

04.04Portfolio Rights

Katalyst Development reserves the right to showcase completed work in its portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing prior to project commencement.

05

Refunds & Cancellations


05.01Project Cancellation by Client

If the client cancels a project after work has commenced, the deposit is non-refundable. If additional work beyond the deposit value has been completed, the client will be invoiced for work done to date at Katalyst Development's standard hourly rate. Completed deliverables will be handed over upon settlement of all outstanding amounts.

05.02Project Cancellation by Katalyst Development

Katalyst Development reserves the right to cancel a project if the client is unresponsive for 30 or more consecutive days, engages in abusive or unreasonable behaviour, or requests work that violates applicable laws. In such cases, the client will be invoiced for work completed to date and remaining deposit funds will be assessed accordingly.

05.03Refund Eligibility

Refunds are only considered where Katalyst Development has materially failed to deliver agreed services and has not remedied the issue within a reasonable period after written notice. Dissatisfaction with creative direction after designs have been approved by the client does not constitute grounds for a refund.

05.04Monthly Plan Refunds

Monthly service subscriptions are non-refundable once a billing cycle has commenced. Clients may cancel future cycles with 30 days written notice as outlined in the Monthly Plans section above.

06

Liability Limitations


06.01Limitation of Liability

Katalyst Development's total liability for any claim arising from services rendered shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages including but not limited to loss of revenue, loss of data, or business interruption.

06.02Website Downtime & Hosting

Katalyst Development is not responsible for website downtime, data loss, or security breaches resulting from third-party hosting providers, server failures, or factors outside our direct control. Clients are encouraged to maintain independent backups of their website data.

06.03Client-Provided Content

The client is solely responsible for ensuring that all content provided to Katalyst Development — including text, images, logos, and other media — does not infringe upon any third-party intellectual property rights or violate any applicable laws. Katalyst Development accepts no liability for claims arising from client-provided content.

06.04Force Majeure

Katalyst Development shall not be held liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, load shedding, internet outages, illness, or other unforeseen events. We will communicate promptly and work to minimise impact on the project.

07

Privacy & Data Handling


07.01Information We Collect

Katalyst Development collects personal information such as name, email address, phone number, and business details solely for the purpose of providing our services. This information is collected through contact forms, quotation requests, and direct communication.

07.02How We Use Your Information

Your personal information is used to communicate with you, process payments, deliver services, and send relevant project updates. We do not sell, rent, or share your personal information with third parties for marketing purposes. We may share information with trusted service providers strictly as required to deliver our services.

07.03Data Security

We take reasonable measures to protect your personal information from unauthorised access, disclosure, or misuse. However, no method of electronic transmission or storage is 100% secure. In the event of a data breach that affects your information, we will notify you as required by applicable law.

07.04POPIA Compliance

Katalyst Development is committed to complying with the Protection of Personal Information Act (POPIA) of South Africa. You have the right to access, correct, or request deletion of your personal information held by us. To exercise these rights, please contact us at info@katalystdev.co.za.

Governing Law


08.01Applicable Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or related to these terms or services provided by Katalyst Development shall be subject to the exclusive jurisdiction of the South African courts.

08.02Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may escalate the matter to formal legal proceedings in accordance with South African law.

08.03Amendments to These Terms

Katalyst Development reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of material changes via email or through our website. Continued use of our services after notification of changes constitutes acceptance of the updated terms.

08.04Entire Agreement

These Terms and Conditions, together with any signed project proposals or service agreements, constitute the entire agreement between Katalyst Development and the client. They supersede all prior discussions, representations, or agreements relating to the subject matter herein.
